Valuation

We value the business or the asset by cross-checking methods: trading and transaction comparables, discounted cash flows, and an asset-based approach where relevant.

Value is not a single figure: it is a range, a set of assumptions and scenarios. We model the business plan, test its sensitivities and bridge enterprise value to equity price, net debt and adjustments included.

Pre-transaction financial review

Before a process opens, we read the accounts the way a buyer will: quality of earnings, EBITDA adjustments, non-recurring items, margins by segment, seasonality and the normative level of working capital.

The aim is simple: find the issues before the counterparty does, fix what can be fixed and document the rest. An anticipated issue is negotiated; an issue discovered in due diligence is paid for.

Vendor Assistance & Vendor Due Diligence

Depending on the context, deal size and buyer profile, we recommend either a lighter, targeted Vendor Assistance or a full Vendor Due Diligence intended to be shared with bidders.

We build the financial material of the process: data room, financial database, and responses to questions from buyers and their advisers. The owner keeps control of the timetable and of the financial narrative of the business.
