Financing strategy
A transaction only holds if its financing is sustainable. We start from the project — growth, acquisition, capital reorganisation — not from a financial product chosen in advance.
We clarify the amount actually needed, the timing of requirements, repayment capacity and the trade-offs between dilution and debt, so the owner decides with full visibility.
Financial modelling
We build a model linking the business plan, cash flow and financing structure, with explicit and testable assumptions.
Base, conservative and downside scenarios, sensitivities, covenant testing and break-even points: the model serves to decide, then to document that decision for financing providers.
Capital structure
The split between equity, quasi-equity and debt, maturities, amortisation, security required and ranking between creditors: each parameter commits the company for several years.
We compare the possible structures on their all-in cost, their flexibility in a downturn and their effect on future investment capacity.
Preparing the file
A clear file shortens review time and reduces the risk premium. We prepare the expected documentation: adjusted historical accounts, business plan, cash-flow forecast, transaction memorandum and answers to the key points of attention.
We anticipate the questions of credit analysts and committees, so that sensitive topics are addressed before they are discovered.
Coordination with financing providers
We support the owner in discussions with banks, investors and public funding bodies: preparing presentations, framing requests, following up reviews and comparing the proposals received.
Seichō Partners acts solely as an adviser alongside the owner: we carry out no intermediation or placement activity and receive no remuneration from financing providers. Financing decisions and contractual arrangements remain with the owner and the institutions concerned.
Post-financing follow-up
Once financing is in place, we help meet the commitments: covenant monitoring, periodic reporting, updated forecasts and anticipation of upcoming maturities.
When the trajectory changes, it is better to open the discussion with financing providers early, file in hand, than under pressure.
